Terms of Service

These Terms govern your subscription to the GrayWorks Services AI receptionist platform (the “Service”), operated by Gray-Works Technologies & Solutions LLC (“GrayWorks”), a District of Columbia company.

1. Acceptance

By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a business, you represent that you are authorized to bind that business.

2. The Service

GrayWorks provides an AI receptionist that answers calls on a business phone number, following the business information, hours, and instructions you configure. Depending on your plan and setup, it may transcribe calls, take messages, book appointments, answer from your knowledge base, and chat on your website. Calls handled by the receptionist are recorded and transcribed as part of the Service.

3. Accounts and Registration

You must provide accurate account and contact information and keep it current. You are responsible for safeguarding your login credentials and for all activity under your account.

4. Plans, Pricing, and Minutes

The Service is sold as monthly subscription plans — currently Starter ($39/month, 40 included minutes, 1 phone number), Essential ($69/month, 100 minutes, 1 number), Professional ($129/month, 250 minutes, 1 number), and Premier ($199/month, 500 minutes, 2 numbers) — with no setup fee. Current pricing and plan features are published on our pricing page. Included minutes are measured as connected call time on calls handled by your receptionist.

5. Overage

Minutes used beyond your plan's monthly allowance are billed as overage at $0.35 per minute, itemized on your invoice.

6. Phone Numbers

We provision the phone number(s) included in your plan through our telephony provider. You may also forward an existing number you control to your provisioned number. Provisioned numbers remain associated with the Service; before canceling, contact support@grayworks.services with any questions about your number.

7. Billing and Payment

Subscriptions are billed monthly in advance through Stripe to the payment method on file. Overage and any usage charges are billed as itemized invoice items. Fees are exclusive of taxes, which you are responsible for where applicable.

8. Non-Payment and Suspension

If a payment fails and is not resolved within the grace period shown on your billing page, your receptionist is automatically paused and stops answering calls until payment succeeds. We may suspend or terminate the Service for continued non-payment or for violation of these Terms.

9. Cancellation

Subscriptions are month-to-month. You may cancel at any time from your billing page; cancellation takes effect at the end of the current billing period, and no further charges are made after that period.

10. Your Responsibilities

You are responsible for the accuracy of the business information and instructions you configure — the receptionist answers callers based only on what you provide. You are also responsible for complying with the call-recording notice and consent laws that apply to you and your callers (see our Call Recording page), and, if you are a HIPAA covered entity or handle other regulated data, for determining whether the Service is appropriate for that use.

11. Acceptable Use

You may not use the Service for unlawful, fraudulent, deceptive, or harassing purposes; to send spam or place unlawful automated calls; to impersonate others; or to probe, overload, or interfere with the Service's systems and security.

12. Intellectual Property

GrayWorks owns the Service and its software, templates, and branding. You own your business content and your call recordings and transcripts; you grant us the license needed to process them to provide the Service.

13. Data Retention

Call recordings, transcripts, and configuration data are retained as described in our Privacy Policy. On account closure we delete or de-identify remaining data within a commercially reasonable period, except records we are required to keep.

14. Service Availability and AI Limitations

The Service depends on third-party telephony and AI providers and may be interrupted or degraded. The AI receptionist can misunderstand callers or make mistakes and is not a substitute for human judgment. It must not be relied on for emergency calls or emergency dispatch.

15. Disclaimer of Warranties

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, GrayWorks disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and does not warrant that the Service will be uninterrupted or error-free.

16. Limitation of Liability

To the maximum extent permitted by law, GrayWorks is not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or revenue. Our total liability under these Terms is limited to the fees you paid for the Service in the three months preceding the claim.

17. Governing Law

These Terms are governed by the laws of the District of Columbia, without regard to its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in the District of Columbia.

18. Changes and Notices

We may update these Terms; material changes will be announced to customers by email or dashboard notice before they take effect, and continued use after the effective date constitutes acceptance.
